For clients engaging our professional services, a separate service agreement may be required that will outline specific deliverables, timelines, and payment terms. Such agreements will supplement these Terms.

3. Intellectual Property

3.1. Our Intellectual Property

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for any claims arising under these Terms shall not exceed the amounts paid by you to us for the Services during the twelve (12) month period preceding the event giving rise to the claim.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall take place in Bangalore, India.

14. Entire Agreement

These Terms, together with any service agreements or other legal agreements we may have with you, constitute the entire agreement between you and Aphelion Labs regarding our Services and supersede and replace any prior agreements we might have had with you.
